1. Organise your finances and accounting
After receiving the documents from ONRC, open the company’s bank account and decide who will manage its accounting. An SRL must keep double-entry accounts and file the tax returns and financial statements applicable to it, including when it has not yet started trading.
- Give your accountant the company documents and information on its tax regime.
- Establish a monthly process for invoices, bank statements, contracts and other documents.
- Check whether you must obtain the Single Control Register, depending on the company’s circumstances.
2. Prepare digital communication with ANAF
Registration in the Private Virtual Space (SPV) and the use of a qualified electronic signature enable online communication with the authorities. Invoices within the scope of RO e-Factura must be submitted in the format accepted by the system; a PDF sent by email does not replace this procedure.
- Obtain a qualified electronic signature or designate the person who will use one.
- Set up access to SPV and third-party software compatible with RO e-Factura.
- Check ANAF acknowledgements and messages, not just whether the document was sent.
3. Check permits before starting operations
CAEN activities must be authorised at the location and under the conditions in which they are actually carried out. Opening a business location, hiring employees, registering for VAT or changing the beneficial owner may require additional formalities with ONRC, ANAF or other authorities.
- Do not start a regulated activity before obtaining the required approvals.
- Register employment contracts before employees start work.
- Update company details when the registered office, directors, shareholders or activities change.
